Safe Information Group N.V. announces the Convocation of the Extraordinary General Meeting of Shareholders - Safe Information Group N.V.
An Extraordinary General Meeting of Shareholders (the “Extraordinary General Meeting”) of Safe Information Group N.V. (the “Company”) will be held on Monday, 11 December 2017 at 10:00 hours (Dutch time) at the Company’s registered office being Jan Pietersz, Coenstraat 10, 2595 WP Den Haag, Netherlands.
The agenda reads as follows:
1. Opening and Appointment of Chairman;
2. Proposal to approve an interim dividend of €13,886,153 (“the SIG Interim Dividend”) under the conditions precedent that:
(i) a dividend payment of £6,400,000 (converted to €7,150,720) is made by Creditsafe Business Solutions Limited (from distributable reserves which had accumulated in that company in the period to 31 December 2016);
(ii) a dividend payment of €2,250,000 million is made by Solvabilite Entreprise SAS (from distributable reserves which had accumulated in that company in the period to 31 December 2016);
(iii) a dividend payment of €20,000,000 is made by Creditsafe Cyprus Limited (from distributable reserves which had accumulated in that company out of profits from 2006 to 2016) (of which €4,373,703 will be distributed as part of the SIG Interim Dividend and the remaining €15,626,297 retained by the Company),
to the Company's subsidiary, Safe Information Group Cyprus Limited and the subsequent dividend payment of the same amount is made by Safe Information Group Cyprus Limited to the Company, and further that:
(iv) a dividend payment of £100,000 (converted to €111,730) is made by Company Check Limited (from distributable reserves which had accumulated in that company in the period to 31 December 2016) to the Company.
3. Proposal to approve the Statement on Modern Slavery for financial year ending 31 December 2016 in respect of the Creditsafe Group to be published on the website of Creditsafe Business Solutions Limited.
Holders of ordinary bearer shares who intend to attend the Extraordinary General Meeting should so advise the Company no later than 2 December 2017.
If holders of ordinary bearer shares do not wish to attend the Extraordinary General Meeting, they are entitled to appoint one or more proxy holders to attend and vote on their behalf. A proxy can only be granted validly by (1) notifying the Company of such intention, and (2) submitting the proxy to the Company indicating the manner in which they intend to cast their vote on each proposal on the agenda. In each case, the proxy must be received no later than 2 December 2016.
The Extraordinary General Meeting is only open to persons authorised to attend the meeting and not to the press, nor to the public.
